1. Acceptance of Terms

By accessing and using CRNApro.ai, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use this service.

2. Description of Service

CRNApro.ai provides a platform connecting Certified Registered Nurse Anesthetists (CRNAs) with healthcare facilities and staffing agencies. The service includes job posting, candidate matching, credentialing management, contract management, and billing services.

3. User Accounts

Users must create an account to access certain features. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.1 CRNA Accounts

• CRNAs may create accounts at no cost
• Must provide accurate professional credentials
• Responsible for keeping credentials current and valid

3.2 Facility and Agency Accounts

• Subject to job posting fees as outlined in pricing
• Must provide accurate business information
• Responsible for timely payment of invoices

4. Pricing and Payment

Facilities and agencies pay $399/month per organization (one flat-rate subscription per facility, or per agency). Each subscription includes unlimited active job postings plus all platform features: job board listing, messaging, negotiations, contracts, and billing. This recurring fee renews every 30 days. CRNAs use the platform at no cost. Cancelling the subscription stops all active postings immediately with no refund for the current billing period.

Facility Commission: Facilities authorize crnapro.ai to charge a 20% commission on the gross weekly invoice amount paid to placed CRNAs. Commission is charged automatically every Saturday for the prior week's invoices.

Agency Commission: Agencies authorize crnapro.ai to charge a 5% commission on the gross weekly invoice amount for CRNAs placed via the platform. Commission is charged automatically every Saturday for the prior week's invoices.

5. Content Standards

All users agree to provide truthful, accurate information. Job postings must accurately represent the position, compensation, and requirements. Credentials must be valid and current.

6. Privacy and Data Protection

We collect and process personal information as described in our Privacy Policy. By using this service, you consent to such processing and warrant that all data provided is accurate.

7. Prohibited Conduct

Users may not:

• Post false or misleading information
• Attempt to circumvent the platform to avoid fees
• Harass or discriminate against other users
• Use the platform for any unlawful purpose
• Attempt to gain unauthorized access to the system

8. On-Platform Hiring Required

All hires originating from postings made on crnapro.ai must be contracted and invoiced through the platform. Contacting CRNAs outside the platform to bypass the platform's commission structure violates these Terms and constitutes grounds for immediate account termination and forfeiture of any in-process commission payouts.

9. Intellectual Property

All content, features, and functionality of CRNApro.ai are owned by the platform and protected by copyright, trademark, and other intellectual property laws.

10. Limitation of Liability

CRNApro.ai provides a platform for connecting parties but is not responsible for the actions of users, the quality of services provided, or the outcome of any employment relationship formed through the platform.

11. Termination

We reserve the right to suspend or terminate accounts that violate these terms or for any other reason at our discretion.

12. Changes to Terms

We reserve the right to modify these terms at any time. Users will be notified of significant changes and continued use constitutes acceptance of the modified terms.

13. In-Platform Messaging

All messaging between facilities, agencies, and CRNAs occurs through crnapro.ai's native messaging system. Off-platform contact attempts detected in messages are logged and may be flagged for review per the Anti-Poaching clause.

14. Structured Negotiation

Rate negotiations including offers, counter-offers, acceptances, and declines are recorded in crnapro.ai's negotiation ledger. Accepted negotiations automatically trigger contract drafts.

15. Electronic Signatures

Contracts executed via crnapro.ai are signed using the platform's ESIGN-Act-compliant click-to-sign workflow. By clicking "Sign Contract," parties acknowledge the electronic signature is legally equivalent to a manual handwritten signature per 15 U.S.C. § 7001 et seq. crnapro.ai retains executed contracts for 7 years from execution date.

16. Document Retention

Signed contracts, audit events, and TCPA consent records are retained for 7 years from creation date. Parties may request a copy of their own records at any time.
